What Happened

Last week a letter was sent to corporations, Limited Liability Corporations, nonprofit corporations, Limited Partnerships, Limited Liability Partnerships and other businesses registered in the State of Colorado in an official-looking envelope from “Corporate Controllers Unit.”

The solicitation letter offered to file the businesses’ corporate annual reports with the Secretary of State’s office for a payment of $225. This letter implies that the Colorado Secretary of State’s office has increased the corporate report-filing fee from $10 to $225, which is not the case.

What This Means

This is a fraudulent solicitation sent by an organization with no association to the Secretary of State’s office or any governmental agency. The Secretary of State’s office does not charge $225 for annual report filings; that amount remains $10.

For more information, refer to Colorado Secretary of State Scott Gessler’s statement regarding the fraudulent solicitation here. Following this client alert is an example of what the solicitation letter looks like.

What You Should Do

Nothing. It is a scam. Do not respond and do not send money. When it is time to file your corporate report with the Colorado Secretary of State, you can do so online for the normal fee of $10: http://www.sos.state.co.us.

The Secretary of State’s office encourages recipients of the letter to report the activity at [email protected] or (303) 894-2200, option 2.
