A recent decision of the Supreme Court sheds light on the liabilities incurred by the franchisor as head of the network. The Court concluded that the independence and the distinct legal personality of franchisees did not exonerate a franchisor from any liability in respect of a termination of a supply relationship that it had de facto imposed on its franchisees.

The provisions of the French Commercial Code on restrictive trade practices apply to most trading relationships, including franchise agreements. In assessing whether a significant imbalance exists between the obligations of the franchisor and those of the franchisee, an overall review of the franchise agreement (and the benefits of being part of a reputable network) should be conducted.
