The Institute of Directors (IoD) has launched corporate governance guidelines and principles for unlisted companies in the UK.
The guidance and the principles of good governance are based on pan-European guidance developed by the European Confederation of Directors’ Associations (ecoDa). The IoD believes that appropriate corporate governance practices can contribute to the success of UK companies of all types and sizes, including those that are unlisted or privately held. The principles provide a roadmap for family owners or entrepreneurs as they plan the development of their companies. There are 14 voluntary principles, of which nine are Phase 1 principles applicable to all unlisted companies and five are Phase 2 principles applicable to large and/or more complex unlisted companies.
