Although the Financial Markets Authority (FMA) is responsible for carrying out the pre-registration checking service for a prospectus, it is still the New Zealand Companies Office which processes and registers a prospectus. The Companies Office has recently established a process for registering your prospectus online. Anyone who wishes to register a prospectus in this way simply needs to prepare an electronic file containing all the relevant documents (for example, the prospectus itself and any material contracts and authority documents), a cover sheet, and an online form. The registration fee is either directly debited from a Companies Office account, or paid via credit card. The new alternative process should speed up registration.
