The Companies (Model Articles) Regulations 2008 have been laid before Parliament and the accompanying explanatory memorandum has been published. The regulations are expected to come into force on 1 October 2009 and they provide default articles of association for new companies formed on or after 1 October 2009 unless the company adopts its own articles.
Amongst other things these model articles make provisions for conflicts of interest and directors’ indemnity and insurance
