The expiry date for certain transitional provisions which apply to Guernsey companies incorporated prior to 1 July 2008 (i.e. before the Companies (Guernsey) Law, 2008 came into force) (“Existing Companies”) has been further extended to 1 July 2012. When these transitional provisions expire, many Existing Companies will need to amend their memoranda and articles of incorporation ("M&As"). However, the Companies Law is also under review at present and that review may itself result in Existing Companies having to amend their M&As. By extending the transitional provisions it is hoped that Existing Companies will not have to carry out several amendments in quick succession. For more information, click here.
