Just a quick post today to counter a growing misperception that seems to be developing. I keep seeing articles with some variance on the title: “Litigation Over Executive Compensation Disclosures/Say on Pay is Dead.” THIS IS NOT TRUE. It is true that litigation that focuses solely on Say on Pay disclosures seems to have disappeared after the plaintiffs’ lawyers lost every case they filed. However, the Faruqi firm continues to list several companies that it is “investigating” (i.e., trolling for a shareholder who will agree to be the nominal plaintiff) for inadequate disclosure for incentive stock plan proposals. See http://www.faruqilaw.com/cases/allCases (note: this site is not very user friendly).
