At an open meeting to be held on August 25, 2010, the SEC will consider whether to adopt changes to the federal proxy and other rules to facilitate director nominations by shareholders. As discussed in the June 1, 2009 issue of the Securities & Financial News to Note Bulletin, the SEC previously proposed proxy access rules amidst much controversy. The Dodd-Frank Wall Street Reform and Consumer Protection Act (“Dodd-Frank”) granted the SEC specific authority to adopt proxy access rules, and it appears that the SEC is moving quickly to adopt such rules.
