It provides an update on new legislation in certain Middle East countries (Egypt, Jordan, the Kingdom of Saudi Arabia, Kuwait, Qatar, the Sultanate of Oman, Turkey and the United Arab Emirates) where Dentons has offices. We also include Lebanon updates from our associate firm in Beirut.

This Update is not an exhaustive list of all new legislation, but a summary of new legislation that we feel may be significant for clients. Please note that, in some jurisdictions, new laws may come into effect which have not been officially published in the publications we have reviewed as mentioned below. Egypt

New legislation is published weekly in the Official Gazette.

Prime Ministerial Decree No. 241 of the year 2013

Regarding selling price of Mazut for brick factories.

Official Journal, issued and published on 13 March 2013 and shall come into force as of the day following its publication date.

Ministry of Tourism Decree No. 212 of the year 2013

Adds article No. (11-Bis) to the articles of the Ministerial Decree No. 222 of the year 2012 regarding restaurants and tourist souvenir shops.

Amending certain provisions of the Executive Regulations of the Law on Organisation of Tourism Companies.

Ministry of Tourism Decree No. 170 of the year 2013

The Applications for Establishing Tourism Companies of different categories shall not be accepted, temporarily, for a period of one year as of the expiration date of Decree No. 151 of the year 2012, as there is no need therefor in the country during the current period.

Ministry of Health and Population Decree No. 860 of the year 2012

Amending certain provisions of Decree No. 296 of the year 2009 concerning the re-regulation of the Rules and Procedures of Human Drugs Registration.

Al-Wakaye Al-Mesreya / Government Bulletin, issued on 14 November 2012, published on 5 December 2012 and shall come into force as of the day following its publication date.

Law No 3. of the year 2013

Concerning exempting establishments and the insured from the additional amounts due thereon to the National Organization for Social Insurance.

Official Journal, issued and published on 23 February 2013 and shall come into force as of the day following its publication date.

Law No. 6 of the year 2013

Cancelling Law No. 5 of the year 2002 promulgated for cancelling the application of the law and system of turning Port Said City into a Free Zone, and the Laws Amending thereto.

Official Journal, issued and published on 26 February 2013 and shall come into force as of the day following its publication date.

Kuwait

Law No. 97 of 2013 amending some provisions of Decree Law No. 25 of 2012 issuing the Companies Law

Amends 63 articles of the Companies Law with regard to professional, joint venture, limited liability and shareholding companies. It prescribes deadline for the Ministry of Commerce and Industry to approve application of forming a new company within 30 days of its submission. It outlines the conditions of issuing bonds and Sukuk and the authority of Bonds and Sukuk Holders Association. The company has the right to opt-in cumulative voting on its Articles of Association. It requires all Kuwaiti companies to comply with the law within six months of its issuance.

Law No. 90 of 2013 amending some provisions of Law No. 6 of 2010 concerning Working in Private Sector

Establishes Public Authority for Workforce supervised by the Minister of Social Affairs and Labour which will be responsible for recruitment of foreign employees and new law will be issued for this purpose. The Ministry of Social Affairs and Labour will issue procedures and documents that need to be fulfilled by the employer.

Law No. 91 of 2013 concerning Trafficking of Persons and Smuggling of Migrants

Complying with Law No. 5 of 2006 effective from 4 April 2006, Kuwait has ratified the United Nations Treaty concerning Trafficking in Persons and Smuggling of Migrants and to this effect issued this law. It prescribes strict penalties for not complying with the law of life imprisonment and a fine of 20,000 Kuwaiti Dinars.

Capital Market Authority Decision No. 2 of 2013 regarding Investment Rules of Debt Tools Funds

Explains rules of investment in medium or long-term debt tools issued by governments or government-owned companies or any other entities supervised by recognised international rating agencies. The security ranking of the debt tools on date of investment should not be less than (888) or equivalent as rated by one of the international rating agencies.

Capital Market Authority Decision No. 2 of 2013 regarding Investment Rules of Holding Funds

Prescribes investment rules for holding funds, which invest in other investment funds. It prohibits entering into deals, which will require debt obligations of more than 10 per cent of the total value of the holding fund assets. It limits the investment to a minimum of three investment funds. The holding investment funds should comply with the Decision within one year of its issuance.

Sultanate of Oman

Ministry of Manpower, Decision No. 90/2013

Outlines sanctions for private sector enterprises which breach employment law. Penalties include rejection of applications for: labour clearances for expatriates; issue and renewal of work permits and update or amendment of an establishment's registered information.

Turkey

Law on Construction and Renewal of Facilities and Service Procurement through PPP Model by the Ministry of Health and on Amending Certain Laws and Statutes (No. 6428) (Official Gazette No. 28582)

Sets out the principles and procedures pertaining to the construction and renewal of facilities and service procurement through the PPP model, by establishing an easement right for up to 30 years over real properties owned by the treasury.

Public Oversight, Accounting and Auditing Standards Institution’s Decision (Official Gazette No. 28585)

Determines the principles and procedures with respect to the application of the Council of Ministers Decision. Prepared pursuant to Article 4 subparagraph 6 of the Council of Ministers Decisions on Determination of the Companies Subject to Independent Audit (the Council of Ministers Decision) numbered 2012/4213 and dated 23 January 2013.

Stipulates the update provisions of Private Employment Office Statute published in the Official Gazette dated 1 August 2008 with number 26954. This statute explains opening and conducting terms and conditions of a private employment office. It brings innovation to the employment sector.
