21 June 2011, the Office of Fair Trading (OFT) published its approval of the acquisition by Danone Holdings (UK) of Complan Foods Limited. The focus of the OFT’s inquiries was the activities of both parties in the supply of milk-shake style drinks used to prevent malnutrition. Nutricia currently supplies a whole range of different recovery-oriented and specialist prescription products, including milk-shake style drinks in a ready-to-drink (RTD) format. Complan on the other hand supplies only recovery-oriented drinks in a powder format both in a prescription format and for over-the-counter sale. The OFT concluded that although Danone’s share of supply in the market for recovery drinks (which included both RTD and power products) was relatively high, the increment as a result of the merger was small. This analysis took into account the proposed entry by Complan of a new RTD product. The OFT concluded that the merger would not result in a substantial lessening of competition within the UK.
