The European Commission (Commission) commenced a formal investigation, on 11 February 2009, into whether the sale of Austrian Airlines to Lufthansa and plans for its restructuring raises any issue under the State aid rules. Following privatisation of the airline, Lufthansa is to acquire a 41.56% stake for around €366,270 and a debtor warrant for additional payment. Austria will also provide a grant towards a capital increase in the airline. The Commission has expressed concerns about whether the price paid represents the true market price of the airline and the extent to which the sale was conducted in an open, transparent and unconditional manner in accordance with the market economy investor principle. In a separate but connected decision, the commission authorised rescue aid for Austrian Airlines in January 2009.
