Three hospitals located in Brasília-DF submitted to the Administrative Council for Economic Defense - CADE a Concentration Act, in which Rede D’Or intended to incorporate Medgrupo Participações S/A. and Hospital Santa Lúcia S/A.
On the judgment, held in June 5th, 2013, the authorities affirmed that the transaction would cause concentration in the relevant market of general hospitals, which may harm competition.
A remedy was proposed by CADE so the Concentration Act was conditionally approved: a disinvestment plan consisting on the selling of Hospital Santa Lúcia, or the selling of Hospital Santa Luzia, jointly with Hospital do Coração.
CADE also sets that the hospitals must be sold to a buyer who is financially healthy, and that all jobs and salaries must be keep in the unities for six months after the selling.
