The Swedish Competition Authority (“SCA”) decided that the acquisition of Prokey AB by the lock and door opening solution wholesaler and manufacturer Assa Abloy AB, is to notified to the SCA in spite of that the relevant turnover thresholds are not met. The SCA may, when certain circumstances are at hand, order a notification of a concentration that would normally not be subject for filing to the SCA. In the present case such circumstances have been considered to be present due to Assa Abloy’s strong position on the market as a manufacturer and wholesaler. The SCA will commence its assessment on whether the proposed concentration would impede effective competition on the Swedish market or in any substantial part thereof after the notification of the acquisition has been submitted.
