The Municipal Securities Rulemaking Board issued its annual Fact Book of municipal securities market data, which includes comprehensive and historical statistics on municipal market trading patterns and the number and type of primary market and continuing disclosures submitted by municipal market participants, among other data. The MSRB announced that it has proposed draft amendments to MSRB Rule G-34, which addresses CUSIP numbers, new issue, and market requirements, that would clarify the application of the rule to private placement transactions and expand it to include non-dealer municipal advisors when advising on new issue municipal securities sold in a competitive offering. The MSRB issued a statement in which it expressed support for the SEC’s proposal to amend Exchange Act Rule 15c2-12 to include two required event disclosures related to bank loans and other alternative financings entered into by issuers of municipal securities. The Financial Industry Regulatory Authority announced charges against a registered representative for making unauthorized and unsuitable trades in an elderly customer’s account, and for misrepresenting the reasons for the trades to the customer. In connection with the unauthorized sales and subsequent repurchases of stock, the representative charged the customer more than US$375,000 in mark-ups, mark-downs and fees and deprived the customer of substantial dividends had she held the shares. Without admitting or denying the allegations, the representative consented to the entry of FINRA’s findings and the imposition of a bar. (3/1/2017) FINRA press release.
