From 1 October 2009, the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009 will apply certain provisions of the Companies Act 2006 (with necessary modifications) to LLPs. At present, LLPs are governed by regulations which, by cross-referral, apply and modify the Companies Act 1985.
The changes to LLPs are largely administrative but there are also some modifications. Details of the key provisions of the Companies Act 2006 as applied to LLPs are set out in our Corporate e-bulletin 2009/15
