Investment Company Act Rule 17a-9 allows an affiliate to buy a troubled security from a sponsored money market fund ("purchase"). The Rule imposes conditions, but does not require notification to the SEC of a purchase. However, the SEC has proposed amendments to Investment Company Act Rule 2a-7 that would require email notification to the Director of the Division of Investment Management of a purchase. The proposal is not clear whether the notification would be required prior to the purchase. Investment Company Act Rule 2a-7 currently requires prior notification to the SEC staff under specified circumstances. Accordingly, it would appear advisable to notify the SEC staff of a purchase prior to execution, even though notification may not be required.
