Electrabel, Belgium's principal electricity supply has been fined €20 million for acquiring control of Compagnie Nationale du Rhône (CNR) in 2003 without first seeking clearance from the European Commission (Commission) under the EC Merger Regulation. The size of the fine reflects the fact that Electrabel only notified the deal in March 2008 and the Commission's view that Electrabel had sufficient experience to be aware that when it gained effective control of the company, it should have notified the transaction for merger clearance. However, the Commission did take note of the fact that the transaction has not given rise to any competition concerns and that Electrabel subsequently took the initiative in advising the Commission about the deal.
