The Swedish Competition Authority (“SCA”) approved the proposed acquisition of Webhallen Sverige AB by Komplett AS after an in-depth investigation opened in June 2013. Both parties are active in the market for resale of household electronics to end-consumers and other resellers. The SCA found the horizontal overlap in the resale of household electronics to be minor and, therefore, did not examine it in detail. However, the SCA’s investigation revealed that the parties are particularly strong competitors in the market for resale of computer components to end-consumers in stores as well as on the internet. The SCA found that competitors in the market for resale of computer components offer relatively similar products and a sufficient number of competitors would remain in the market after the proposed acquisition. Further, the SCA found no technical or legal impediments for entering the market.
