On 25 September 2008, the Commission published draft legislation intended to reduce the administrative burdens upon the merger or division of public limited liability companies. The proposed directive would reduce the reporting requirements of companies in the case of “simplified” mergers or the division of a parent company and subsidiary; reduce the instances of double reporting where reporting requirements derive from other EU rules; and introduce the possibility for companies to use the internet and electronic mail to inform shareholders of the draft terms of agreement.
