On 25 April 2012, the OFT published the full text of its decision to refer Linergy’s acquisition of Ulster Farm By-Products to the Competition Commission. The OFT concluded that there is a realistic prospect that the merger would result in a substantial lessening of competition in relation to processing certain animal by-products and to the processing of fallen stock in Northern Ireland. It found that the parties are currently each other’s closest competitors and, following the merger, would face very little competition in Northern Ireland, with only one remaining competitor. The OFT did not consider the undertakings in lieu offered by the parties would address its concerns. The transaction was then abandoned following reference to the Competition Commission. Read more.
