On 18 March 2009 the FRC published a call for evidence, as part of its review of the effectiveness of the Combined Code. The FRC is seeking views on both the content of the Code and the way it has been applied by companies and enforced by investors using the 'comply or explain' mechanism. The FRC is inviting comments on any aspect of the Code, but in particular on: the composition and effectiveness of the board; the respective roles of the chairman, executive and non-executive directors; the board's role in risk management; the role of the remuneration committee; the quality of support and information available to the board and its committees; and the content and effectiveness of the section addressed to institutional shareholders. It is also seeking views on how the operation of the "comply or explain" mechanism could be improved. Comments are requested by 29 May 2009. The FRC plans to publish its findings before the end of 2009. If changes to the Code are proposed there will be a separate consultation.
