It provides an update on new legislation in certain Middle East countries (Egypt, Jordan, the Kingdom of Saudi Arabia, Kuwait, Qatar, Turkey, the Sultanate of Oman and the United Arab Emirates) where Dentons has offices. This Update is not an exhaustive list of all new legislation, but a summary of new legislation that we feel may be significant for clients. Egypt

New legislation is published weekly in the Official Gazette.

Ministerial Decree No. 271 of the year 2013

Amends some provisions of the Executive Regulations of the Stamp Duty Law issued as per Law No. 111 of the year 1980 and its amending laws, issued as per Decree of the Minister of Finance No. 525 of the year 2006.

Al-Wakaye Al-Mesreya / Government Bulletin, published and issued on 16 May 2013 and shall come into force as of the day following its publication date.

Law No. 11 of the year 2013

Amends some provisions of the Income Tax Law promulgated by Law No. 91 of the year 2005 and amendments thereto as amended by the Decree, Law No. 101/2012.

Official Journal, published and issued on 18 May 2013 and shall come into force as of the day following its publication date.

Administrative Decision No. 78 of the year 2013

Declares amendments in respect of the Egyptian standard specifications in which regard binding ministerial decrees have previously been issued.

The decree shall be published in Al-Wakaye Al-Mesreya / Government Bulletin to notify the persons concerned with the specifications that have been fully or partially amended. The Egyptian Organization for Standardization and Quality Control shall be referred to in order to keep abreast of such amendments or view same on the website of The Egyptian Organization for Standardization and Quality Control (http:/www.eos.org.eg).

Decree No. 204 of the year 2013

Amends some provisions of the Executive Regulations of the Customs Law.

Al-Wakaye Al-Mesreya / Government Bulletin, published and issued on 23 April 2013 and shall come into force as of the day following its publication date.

Law No. 9 of the year 2013

Amends some provisions of the Stamp Duty Law promulgated by Law No. 111 of the year 1980 as amended by Decree, Law No. 104 of the year 2012

Official Journal, issued and published on 29 April 2013 and shall come into force as of the day following its publication date.

Kuwait

New legislation is published in the Official Gazette.

Law No. 111 of 2013 concerning commercial licences

Repeals Law No. 32 of 1969 concerning commercial licences and its amendments. It requires the Ministry of Commerce and Industry’s prior approval for companies to do business in Kuwait. It also explains the conditions of business operation and the circumstances where such licences can be cancelled.

Law No. 108 of 2013 amending some provisions of Law No. 6 of 2010 concerning working in the private sector

Amends Article 10 of Law No. 6 of 2010 concerning working in the private sector, which requires prior approval by the Authority (defined below) before granting a work permit to foreign manpower.

Law No. 109 of 2013 concerning the Public Authority of Manpower

Establishes the Public Authority of Manpower (the Authority) as required by Law No. 6 of 2010 concerning working in the private sector. It explains the role and responsibilities of the Authority and its board members, the authorities of the General Manager, and the procedures for transferring the current Ministry of Social Affairs and Labour (MSAL) employees to the Authority.

Capital Market Authority Decision No. 24 of 2013 regarding the procedures and mechanism for nomination for the Board of Directors’ election of each licensed entity

Requires each licensed entity to publish an announcement in the Official Gazette of the name of its nominee who wishing to stand for election to the Board of Directors. It also requires the Capital Market Authority's (CMA) prior approval of the nominees and the licensed entity to inform the CMA of the names of the Board Members who were elected.

Capital Market Authority Decision No. 23 of 2013 amending Decision No. 9 of 2011 concerning requirements of licensed entities

Differentiates between the definitions of a registered broker and a non-registered broker in the Kuwait Stock Exchange. It amends Article 1 of CMA Decision No. 9 of 2011, specifically the form of brokerage company which shall be a shareholding company.

Sultanate of Oman

New legislation is published in the Official Gazette.

Official Gazette 1012 announced Sultani Decree No. 29/2013 promulgating a new Civil Transactions Code

The new Code was promulgated on 6 May 2013 and will come into effect three months following the Official Gazette publication date of 12 May 2013, i.e. on 12 August 2013.

The new Code has wide-ranging implications for all forms of business in Oman dealing with issues such as rights and obligations, contracts, tort, unjust enrichment, joint and several liability, sales contracts, loans, compromise, leases, building contracts, agency, guarantees, assignment and charges. It also covers personal issues such as inheritance and wills.

Sets out general conditions regarding professional liability insurance. In Turkey, doctors and companies providing private security services have a statutory obligation to have professional liability insurance. Other occupational groups are also able to have professional liability insurance, provided that their policy complies with the general conditions stated in this Communique.
