The EC (Mergers and Divisions of Companies) (Amendment) Regulations 2011 were adopted on 30 June 2011. These regulations introduce a number of amendments to the EC (Mergers and Divisions of Companies) Regulations 1987 (in relation to the merger and division of public limited companies) and the EC (Cross-Border Mergers) Regulations 2008 (in relation to cross-border mergers of public and private companies).
The amendments, which relate primarily to the reporting and documentation requirements for mergers and divisions, provide for:
- a relaxation of the reporting requirements imposed on companies undertaking mergers or divisions;
- the avoidance of duplication in providing certain of the required reports under the regulations; and
- the facilitation of the use of the internet and other electronic means for the publication and dissemination of documents involved in such mergers and divisions.
