The Office of Fair Trading (OFT) is not to refer Carpetright plc’s acquisition of four Allied Carpet stores to the Competition Commission under the provisions of the Enterprise Act 2002. During its investigation, the OFT focused on the Solihull store in the West Midlands. The OFT was initially concerned that the transfer of a lease may have resulted in a relevant merger situation and may have resulted in a substantial lessening of competition in the supply of carpets in that area. However, it exercised its discretion not to refer the merger under the ‘de minimis’ exception and published its clearance decision on 29 September 2010. Under this exception, the OFT is not required to refer a merger to the Competition Commission where the size of market is of insufficient importance taking into account relevant factors such as market size, strength of the competition concerns and the impact on the market.
