European Commission conditionally approves acquisition of SSL International by Reckitt Benckiser

The European Commission (Commission) has approved the acquisition of SSL International by Reckitt Benckiser, subject to conditions. Reckitt Benckiser is a UK based producer of consumer goods and owns some of the most recognisable brands in UK supermarkets such as Nurofen, Vanish and Gaviscon. SSL is also a UK based company active in personal care and over the counter pharmaceuticals and owns such brands as Durex and Scholl.

The Commission identified a number of competitive overlaps in the UK and Irish markets and was particularly concerned that the proposed merger would result in the merged entity having a very high share of the market for mouth ulcer, infection and pain relief products for both adults and children in the UK, and mouth pain relief products for adults in Ireland. In response to these concerns, Reckitt Benckiser offered to divest SSL’s mouth pain relief products in the UK, and its adult mouth pain relief products in Ireland. The Commission has accepted these proposals and approved the acquisition.
