On 8 November 2013, the FCA published the Prospectus Rules (Amendment) Instrument 2013 which amends Prospectus Rule 3.2 to clarify the timing and method of filing a prospectus with the FCA. The amendments clarify that a prospectus (or supplementary prospectus) must be filed with the FCA simultaneously with it being made available to the public or, if earlier, within 24 hours of receipt of the notification of approval from the FCA. In addition, the amendments clarify that an issuer must upload the prospectus to the National Storage Mechanism, which reflects the approach described on the FCA's website. These amendments are being proposed to help the FCA to comply with the EU Omnibus Directive (2010/78/EU) and its new obligation to report data to ESMA.
