While the proposed changes to Guidance Note 8 do not radically change the current continuous disclosure obligations, they provide more detailed guidance on a number of issues. Listed entities should be aware of the proposed revisions and be set to review their continuous disclosure policies once the new guidance note is finalised.
ASX has released a consultation package concerning proposed revisions to Guidance Note 8 (GN8). The revised draft Guidance Note, which has been released in conjunction with minor changes to Listing Rules 3.1 - 3.1B, has been developed in response to industry feedback and recent legal and market developments and is intended to assist listed entities in understanding and complying with their continuous disclosure obligations under Listing Rules 3.1 – 3.1B.
For a summary of the proposed changes, see the G+T Article.
ASX’s consultation package includes:
- a consultation paper entitled Review of ASX Listing Rules Guidance Note 8 – Continuous Disclosure: Listing Rules 3.1 – 3.1B;
- a proposed new version of Guidance Note 8: Continuous Disclosure: Listing Rules 3.1 – 3.1B;
- a shorter guide entitled Continuous Disclosure: An Abridged Guide; and
- proposed Listing Rule changes outlined in Proposed Disclosure Related Amendments to the ASX Listing Rules.
Submissions are due by 30 November 2012.
