On February 18th, NYSE Regulation advised members of changes to NYSE and NYSE Amex rules recently approved by the SEC. The changes to each exchange's rules regarding disclosure of control relationships with issuers or participation or interest in primary or secondary distributions (Rules 312(f) and 321.24 replaced with new Rules 2262 and 2269); improper use of customers' securities or funds; prohibition against guarantees and sharing in accounts (Rule 352(a)-(d) replaced with new Rule 2150); and AML compliance programs (Rule 445 replaced with Rule 3310) are designed to reduce regulatory duplication and provide for less burdensome and more efficient compliance with member firm conduct rules and requirements. The new numbering convention is designed to harmonize the rules with recently filed changes to corresponding FINRA rules. NYSE Regulation Information Memo 10-09.
