On 21 January 2011, the Stock Exchange released new guidance on publication of overseas regulatory announcements under Rule 13.09(2) of the Listing Rules. Previous guidance issued by the Stock Exchange in 2004 required all information released in other markets by overseas listed subsidiaries of the issuer to be simultaneously released in Hong Kong. This guidance has now been withdrawn. Now, such information published by the overseas listed subsidiary need only be released in Hong Kong if it would be disclosable by the issuer under the Listing Rules. For instance if the information is price sensitive for the issuer under Rule 13.09(1) or is otherwise caught under the notifiable or connected transaction regimes, an announcement would be required. It is important to note that, in such cases, the announcement would need to be published in both English and Chinese (as compared to an overseas regulatory announcement which need only be in either English or Chinese).
