In lieu of a reference to the Competition Commission, the Office of Fair Trading (OFT) has accepted undertakings from Co-operative Group Limited (CGL) in respect of its merger with United Co-operatives Limited. The parties to the merger had overlapping interests in the grocery retailing, funeral services and pharmacy service markets. The OFT considered the effect that the reductions of 4 to 3 competing outlets in a given area would have (the "fascia test”) and found that the merger would give rise to a substantial lessening of competition in a number of local markets. CGL resolved these concerns by offering undertakings to divest 24 retail outlets in 15 local areas.
