On September 29th, the SEC Inspector General released a report on the Division of Corporation Finance's confidential treatment processes and procedures. The OIG found that CF is not performing a robust review and examination of many confidential treatment requests. Additionally, the OIG found the use of conclusory statements in some applicants' analyses of the applicable FOIA exemptions and identified instances where the scope of confidential treatment requests appeared to be overly broad. The OIG further found that documentation explaining why the subject matter of the confidential treatment request was not necessary for the protection of investors did not always include a full assessment of both qualitative and quantitative factors.
