MinterEllison sector leaders provide a snapshot of the key developments and trends in M&A, Private Equity, Capital Markets, Takeovers, Foreign Investment and Corporate Tax.

Emerging trends in public M&A

Partner Alberto Colla discusses some of the trends impacting public M&A in Australia. He identifies two key factors shaping our M&A landscape:

  • low organic growth prospects for companies in mature industries
  • increasing opportunism of bidders taking advantage of volatility in the market.

He notes that while private equity is making a strong and welcome return, the regulatory landscape for public M&A is becoming increasing complex and needs to be carefully navigated by anyone doing a deal.

Finally, he highlights the impact of activist shareholders, saying that boards, bidders and targets must think ahead and be flexible in responding to activist intervention, including adapting the terms of their transaction if necessary.

M&A activity in the construction & engineering sector

Partner Con Boulougouris discusses the key drivers of M&A activity in Australia's construction and engineering sector, including significant investment in the sector by foreign players and the need by some companies to buy specialised skills.

He shines a spotlight on both public and private M&A transactions in the sector, highlighting what’s driving the increase in hostile takeovers, the need for listed companies to have strong defensive strategies, why competitive auctions are particularly hot at present, and foreign investment interest coming out of Europe, China and other parts of Asia.
