The Commission has approved the proposed acquisition of Fortum Oyj group's electricity distribution and meter leasing business of Finland, by Borealis European Holdings (“Borealis”) and First State Investments International (“First State”), both of the United Kingdom. Borealis is the exclusive infrastructure manager for OMERS Administration Corporation. First State, a wholly owned subsidiary of the Commonwealth Bank of Australia, is a global asset management business. The Commission concluded that the proposed acquisition would not significantly impede effective competition in the EEA or in any substantial part thereof particularly because there are no overlaps between the acquirers' businesses and the activity of the joint venture.
