The statutory deadline for holding the annual general meeting of a Russian limited liability company (LLC) is April 30 2017.
The annual general meeting must approve the annual results of the LLC's activities – in particular, its annual financial statements as of December 31 2016 and its 2016 annual report.
In addition, the annual general meeting may decide issues such as:
- profit distribution;
- the appointment of an external auditor; and
- the approval of transactions (eg, major transactions and reserved matters according to the LLC's charter).
Violation of the deadline or any formal requirements may potentially lead to the imposition of administrative fines of between:
- Rb20,000 and Rb30,000 on the LLC's management (ie, the general director); and
- Rb500,000 and Rb700,000 on the LLC.
The deadline for holding the annual general meeting of a Russian joint stock company is June 30 2017.
