Introduction

The Securities Commission Malaysia (SC) recently amended key guidelines relating to:

• unlisted capital market products under the lodge and launch framework; and
• corporate governance for capital market intermediaries.

Guidelines on Unlisted Capital Market Products under Lodge and Launch Framework

On 1 September 2022, the SC released housekeeping amendments to the Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework, which were issued on 9 March 2015 to provide greater clarity and consistency. These amendments include:

• stylistic and formatting changes;
• necessary changes of editorial nature; and
• substitution of terms.

Guidelines on Corporate Governance for Capital Market Intermediaries

On 22 August 2022, the SC issued FAQs on the Guidelines on Corporate Governance for Capital Market Intermediaries to address questions relating to, among other things:

• governance-related requirements;
• board composition;
• active politicians;
• internal audit; and
• outsourcing.
