Switzerland is introducing new rules on producing and distributing financial products. Unlike today, offering and listing prospectuses require a review and approval by an official body. Exceptions from prospectus requirements and the acceptance of foreign prospectuses are being regulated. At the same time, the rules on distribution of financial products and those advising on financial products are changing.

Matthias Courvoisier co-heads the firm’s capital markets practice group in Zurich and is a member of the firm's European capital markets steering committee. For more than 20 years, Dr Courvoisier has worked on legal matters relating to capital markets law, mergers and acquisitions, as well as litigation in these fields. He is a co-editor the commentary on the listing rules of SIX Swiss Exchange and has written various articles on capital markets law related topics in Swiss and international publications. Dr Courvoisier also served as a member of the committee tasked to draft the standards for auditing public takeover offers. He is a regular speaker at the Zurich capital markets' luncheons and other seminars.
Dr Courvoisier focuses his practice on capital markets transactions in Switzerland, including public takeovers, IPOs and other equity capital market transactions. He has extensive experience working on M&A transactions. Dr Courvoisier also represents clients involved in capital markets related litigation cases.

Yves Mauchle is an associate in Baker McKenzie’s corporate finance group in Zurich. He joined the firm in 2011 as a trainee lawyer and rejoined as an associate in 2016. Prior to his return, Mr Mauchle worked as an associate lecturer and research assistant at the University of Zurich, where he was a member of the University Research Priority Programme on Financial Market Regulation. He received the Professor Walther Hug Award and the Issekutz Award for his dissertation in the field of bank resolution. In Summer 2017 he completed a secondment with UBS, working in the areas of bank regulation and capital markets.
Mr Mauchle’s practice focuses on debt and equity capital markets and financial services regulation. He represents issuers and underwriters on capital market transactions such as IPOs, capital increases or high yield bonds. He advises domestic and international clients on public takeovers and on compliance with securities laws.
