The new Belgian Code of Companies and Associations: key concepts, need-to-knows and opportunities

DLA Piper

Description

On 28 February 2019 the Belgian Parliament approved the new Code of Companies and Associations. The new code fundamentally reforms Belgian company law and aims to promote the Belgian limited liability company (BV/SRL) as a super flexible vehicle that can stand the competition with the Dutch BV, the UK limited and the Delaware LLC.

This webinar will cover the key changes of the reform, including:

  • Key concepts, new theories, timeline and transitional regime
  • The new Belgian limited liability company – the new standard of Belgian company law
  • Corporate governance and the new rules on director liability
  • The impact of the reform on private equity and venture capital, as well as not-for-profit associations
  • Need-to-knows for multinational groups active in Belgium
