The government has published the Companies Act 2006 (Amendment of Part 21A) Regulations 2016 together with an explanatory memorandum.  The instrument makes minor amendments to section 790C of Part 21A of the Companies Act 2006 (CA 2006) as inserted by the Small Business, Enterprise and Employment Act 2015 (SBEE 2015).

Part 21A of the CA 2006, as inserted by Part 7 of the SBEE 2015, will require UK registered companies to keep a register of their people with significant control (PSCs) from 6 April 2016.  From 30 June 2016 onwards companies will need to file this information with Companies House.

The instrument amends section 790C of the CA 2006 to remove an unnecessary requirement where there is a company in the chain which is not a relevant legal entity.  It will not be necessary to record that company or the people with significant control in that company.

The regulations will come into force on 5 April 2016.
