Coroin Limited involved the question of whether to be a shadow director it was necessary to show that there was real influence of that person in the whole corporate affairs of the company.

It was established that it was not fatal to the argument that someone was acting as a shadow director if they had not influenced the whole field of the company activities, and that the fact that they had only been involved in a narrow range of decisions was not something that would contradict the argument that they were in fact a shadow director.

One to be aware of if you are advising customers or assisting with any major decisions they may be taking!
