On 29 January 2015, the Singapore Exchange Limited (the “SGX”) released a Disclosure Guide to assist entities listed on the Singapore Exchange Securities Trading Limited (the “SGX-ST”) in providing meaningful disclosure of their corporate governance practices.
The listing rules of the SGX-ST require listed entities to disclose, in their annual reports (the “ARs”), their corporate governance practices with reference to the principles in the Code of Corporate Governance 2012 (the “Code”) and explain any deviation from any guideline of the Code. The Code applies to companies which are listed on the SGX-ST and, with necessary adaptations, to real estate investment trusts and business trusts registered under the Business Trusts Act with a primary listing on the SGX-ST (collectively, the “Listed Entities”).
Listed Entities are encouraged by the SGX to use the Disclosure Guide, and enclose it as part of their ARs.
Designed in a Q&A format, the Disclosure Guide focuses Listed Entities on providing meaningful information concerning key aspects of governance, relating to specific principles and guidelines identified with express disclosure requirements in the Code, and avoiding boilerplate statements or bare recitals of the Code provisions.
