Next to the fundamental clauses regulating among others the sale and purchase of shares, the conditions precedent, the closing or the limitation of the seller’s liability, share purchase agreements usually contain a jurisdiction and choice of law clause in which the competent courts and the law applicable to the agreement are indicated.
