SEC proposes say-on-pay and say-on-golden parachute requirements *

The Securities and Exchange Commission has issued proposed rules to implement the advisory "say-on-pay," "say-on-frequency" and "say-on-golden parachute" shareholder votes required by Section 951 of the Dodd-Frank Wall Street Reform and Consumer Protection Act as well as new related disclosure rules and other requirements.

SEC grants stay of proxy access rules *

On September 29, 2010, the US Chamber of Commerce and the Business Roundtable petitioned the US Court of Appeals for the District of Columbia Circuit for a review of the SEC's recently adopted proxy access rules, alleging, among other things, that the rules are arbitrary and capricious and violate the Administrative Procedure Act and that the SEC failed to properly assess the rules' effects on "efficiency, competition and capital formation" as required by law.

SEC approves final proxy access rules *

At today's open meeting, the Securities and Exchange Commission, in a 3-2 vote split along party lines, approved final rules that create, among other things, a federally mandated procedure to allow shareholders access to a company's proxy materials for the purpose of nominating a short-slate of directors for election in opposition to the nominees proposed by the board.
